TERMS OF SERVICE:
PROTECHNICAL SERVICES LLC, DBA ASTRONAUT COOLING AND HEATING – GENERAL TERMS AND CONDITIONS
- Definitions
Authorized Service Technician – Person(s) authorized by Protechnical Services LLC, DBA Astronaut Cooling and Heating to furnish services hereunder, which may include third-party subcontractors.
Customer / You – The person, partnership, company, or corporation purchasing the Service.
Equipment – HVAC unit, water heater, water treatment unit, or associated equipment that is the subject of the Service.
Service – Installation, inspection, servicing, reconditioning, start-up, alteration, repair, replacement, or correction of Equipment, or any assistance related thereto.
PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating / We / Us / Our – PROTECHNICAL SERVICES LLC, a Texas limited liability company, including subsidiaries or subcontractors.
Terms and Conditions – These General Terms and Conditions.
Service Order – Executed agreement between PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating and the Customer, incorporating these Terms and Conditions.
- Contract
By accepting the Service or making a payment for all or part of the Service, you agree to be bound by these Terms and Conditions.
- Cool Space Club Membership
The Cool Space Club Membership is an annual subscription that includes: Two (2) HVAC preventative maintenance inspections per year. 20% discount on repairs, services, and air purification products. Priority service. Unused inspections do not roll over to subsequent years. Scheduling of inspections is the responsibility of the Customer.
- Warranty
PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating provides two types of warranty coverage:
Service Warranty (90 Days)
All services performed (such as repairs, maintenance, or adjustments) are covered by a 90-day warranty from the date of completion.
Workmanship Warranty (1 Year)
Installation of Equipment is covered by a one-year limited workmanship warranty, ensuring work was performed in a professional and workmanlike manner in accordance with HVAC industry standards. These warranties apply only if: The HVAC system is maintained annually by a PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating Authorized Service Technician. All recommended repairs are performed by PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating. The workmanship warranty does not cover alteration, accident, or abuse. Exclusions: OEM manufacturer warranties apply to installed Equipment. PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating assists Customers with OEM claims but does not extend coverage beyond manufacturer terms. These warranties replace all other remedies, guarantees, or implied warranties, including merchantability and fitness for a particular purpose.
- Limitation of Liability
In no event shall PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating, its affiliates, agents, or employees be liable for:
Special, indirect, incidental, or consequential damages (including lost profits, lost data, downtime, or increased operating costs). Any damages exceeding the price paid by the Customer for the specific Service giving rise to the claim.
- Assumption of Risk
Customer acknowledges inherent risks of Equipment operation, including carbon monoxide exposure and electrical hazards. Equipment must remain unobstructed for safe ventilation.
- Exclusions (What is Not Covered)
This Service Order does not cover:
Additional equipment added after installation. Alterations or repairs performed by unauthorized persons. Failures due to negligence, improper maintenance, vandalism, fire, flood, freezing, acts of nature, or other events beyond PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating’s control. Consumables (e.g., nitrogen, solder, filters, lubricants, batteries). Damage caused by animals or insects. Routine maintenance tasks (e.g., topping off refrigerant, water heater flushing). Failures caused by contamination, corrosion, oxidation, or scaling. Refrigerant conversions due to government regulation. Thermostats unless expressly included in the Service Order.
- Payment Terms
Payment is due upon completion of work. Delinquent accounts accrue interest at 1.5% per month (not exceeding lawful maximum). Customer is responsible for reasonable attorney’s fees, filing fees, and collection costs incurred by PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating.
- Scheduling
If Services are not scheduled at purchase, PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating will make up to three (3) attempts to schedule. After three unsuccessful attempts, obligations will be deemed fulfilled, and payments retained.
- Lien Rights
Under Texas law, parties providing labor or materials may have lien rights on the Customer’s property.
- Governing Law
This Agreement shall be governed by the laws of the State of Texas.
- Waiver
Failure of PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating to enforce any provision does not waive its right to enforce that or other provisions in the future.
- Entire Agreement
These Terms and Conditions, together with the Service Order and applicable addenda, constitute the entire agreement between the parties and supersede all prior agreements.
TEXAS ADDENDUM TO PROTECHNICAL SERVICES LLC, DBA Astronaut Cooling and Heating SERVICE ORDER
This contract is subject to Chapter 27 of the Texas Property Code, governing construction defect claims. Customers must provide written notice of defects by certified mail 60 days before filing suit. For projects exceeding $5,000, contractors must deposit payments in a construction account; Customers may request written verification. Customers should always obtain a written agreement covering scope, timeline, cost, and payment terms.
Notice of Cancellation
Customers may cancel within three (3) business days without penalty. If canceled: All payments and property exchanged will be returned within ten (10) business days. Goods must be made available for pickup in substantially the same condition. If not retrieved within 20 days, the Customer may retain or dispose of goods. Cancellation Notice must be mailed or delivered to:
